HeadteacherChat® Ltd – Terms and Conditions

1. About Us

HeadteacherChat® Ltd is a company registered in England and Wales (Company No. 14015248).

These Terms govern your use of the HeadteacherChat® website, and the School Leaders Shop and Books websites, the HeadteacherChat® Community mobile application, AI Agents (Ask Charlie and SchoolLeaderiBot™), Recommended Partners, and related services operated by HeadteacherChat® Ltd (“we”, “us”, “our”).

2. Acceptance of Terms

By accessing or using our websites, mobile apps, or purchasing any product or service, you agree to be bound by these Terms and any documents referenced within them.
If you do not agree, please refrain from using our services.

3. Scope of Services

HeadteacherChat® Ltd provides the following services:

  1. School Leaders Shop – an online store offering:
    • planners, notebooks, journals, and stationery for teachers and school leaders;
    • educational books, resources, and gifts for educators;
    • downloadable digital resources and templates for professional use in schools.

  2. HeadteacherChat® Community App – an online professional network where school and academy leaders can:
    • connect and collaborate with peers;
    • participate in webinars, live discussions, and virtual events;
    • share insights, post comments, and engage in professional dialogue;
    • access and download educational materials and leadership resources.

  3. Recommended Partners – a directory and marketing platform linking schools with third-party suppliers of educational products and services, and providing marketing opportunities such as:
    • newsletters;
    • social posts;
    • events;
    • sponsorship; and
    • webinars etc.

  4. AI Agents: Ask Charlie and SchoolLeaderiBot™ – digital assistants developed by HeadteacherChat® Ltd to support both education companies and school and academy leaders by providing educational guidance, information, and support tools.
    These agents provide information and resources but do not constitute professional, financial, legal, or HR advice.

When you purchase directly from us, the contract is with HeadteacherChat® Ltd.
When you purchase from or through a third-party supplier, the contract is with that supplier.

4. Eligibility and Account Use

You must be at least 18 years old or have parental consent to use our websites or apps.
You are responsible for ensuring the accuracy of your account details and maintaining the confidentiality of your password.

5. Prices and Payments

• All prices are in GBP and include VAT unless otherwise stated.
• Payments are processed securely through Shopify Inc. or other approved processors.
• Payment is taken when an order is placed.
• We reserve the right to correct obvious pricing errors before acceptance.

6. Delivery of Goods and Digital Content

Printed Goods
We aim to dispatch within the timeframes shown on our website.
Ownership and risk pass on delivery once payment is received in full.

Digital Downloads
Downloads are available immediately after purchase unless you choose otherwise.
By selecting “Download now”, you acknowledge that the 14-day cancellation right is lost once downloading starts.
Faulty digital content will be repaired, replaced, or refunded as required by the Consumer Rights Act 2015.

7. Consumer Cancellations and Returns

If you are a consumer:
• You have 14 days from receipt of goods to cancel without giving a reason.
• To cancel, email info@headteacherchat.com.
• Goods must be returned within 14 days of cancellation.
• Refunds are processed within 14 days of receipt of the returned goods or proof of posting.
• Return postage is your responsibility unless the goods are faulty.
• Digital downloads already accessed, and bespoke or personalised goods, are exempt.
• Your statutory rights remain unaffected.

8. Memberships and Subscriptions

Some services (such as Recommended Partners listings, premium Community App features, or AI subscription plans) operate on an auto-renewing basis.

You will receive full pre-contract information before sign-up and reminder emails 30 days and 7 days before renewal.

A 14-day cooling-off period applies at first sign-up and for any renewal committing you for 12 months or more.
Refunds are available for cancellations within that period.
After that, you can cancel at any time to prevent future renewals by emailing info@headteacherchat.com.

For Recommended Partners, Community App memberships, and AI subscriptions:

  • Fees are payable in advance (annually or monthly, as agreed).

  • Services commence once payment has been received.

  • Non-payment may result in suspension of access or removal from listings.

  • Any promotional benefits or listings will cease immediately upon cancellation or expiry.

  • Membership renewal constitutes agreement to the current Terms and Conditions.

Limitation of Liability for Memberships

HeadteacherChat® Ltd will exercise reasonable care and skill in providing membership and promotional services.
However, we do not guarantee specific commercial outcomes, lead generation, or engagement levels.

Except where required by law (for example, in cases of negligence or fraud), our total liability to you under any membership, subscription, or Recommended Partner arrangement shall not exceed the total fees you have paid for the current membership year.

9. Recommended Partners (Third-Party Suppliers)

Our Recommended Partners section lists independent suppliers and service providers for schools.
Information is provided for reference and marketing purposes only.

HeadteacherChat® Ltd is not responsible for any third-party products or services.
Whilst we make every effort to review and verify the quality, reliability, and safeguarding compliance of our recommended partners and their offerings, it remains the responsibility of each school or academy to carry out its own due diligence before entering into any agreement or purchase.

We do not guarantee, endorse, or accept liability for any representations, content, or transactions made by third-party suppliers.
Schools must review each supplier’s terms, safeguarding documentation, and privacy notice directly.

Physical Activity and Equipment Disclaimer
Some Recommended Partners may offer services involving physical activities, sports, or the use of equipment or facilities.
While we take reasonable steps to ensure that all partners meet high standards of safety and quality, HeadteacherChat® Ltd does not test, inspect, or assume responsibility for any equipment, facilities, or physical activity provided by third parties.

It is the responsibility of each school, academy, or participant to:
• conduct appropriate risk assessments;
• ensure adequate insurance cover is in place;
• confirm that all relevant safeguarding, health and safety, and staff qualification checks have been carried out; and
• verify that activities comply with applicable DfE guidance, Health and Safety Executive (HSE) standards, and local authority policies.

HeadteacherChat® Ltd accepts no liability for injury, loss, or damage arising from participation in any third-party physical activity or use of third-party equipment.

10. Intellectual Property

All website, app, and resource content (including text, graphics, and trademarks) belongs to or is licensed to HeadteacherChat® Ltd.
You may download and print resources for internal school use only.
You may not reproduce, resell, or distribute them commercially without written permission.

11. Community App and User Content

You agree to use the community responsibly and respectfully, and in accordance with your employer's policy and procedure.
You must not post, share, or transmit content that is unlawful, discriminatory, defamatory, or otherwise harmful.
All members must follow their school's normal procedures and policy when using the community platform.

We moderate user content in line with the Online Safety Act 2023 and our safeguarding obligations.
Reports of harmful or illegal content should be sent to info@headteacherchat.com.
We may remove content, suspend accounts, or restrict access to protect the community.

12. Personal Information and Cookies

Your personal data is processed under our Privacy Policy and Cookies Policy (updated June 2025).
We comply with UK GDPR, the Data Protection Act 2018, the Data (Use and Access) Act 2025, and PECR.
We only collect information necessary to provide our services and fulfil our legal duties.

13. Service Changes

We may modify the website, community app, shop, or AI services to improve performance, security, or compliance.
Where changes materially affect users, we will give reasonable advance notice.
If you do not agree, you may terminate your membership and receive any applicable pro-rata refund.

14. Limitation of Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any matter that cannot lawfully be excluded under the Consumer Rights Act 2015.

Subject to that:
• We are not liable for business, consequential, or indirect losses.
• Our total liability for each order is limited to the amount you paid for that order.
• We are not responsible for interruptions caused by third-party platforms or events beyond our control.

15. Dispute Resolution

We will always try to resolve any disputes with you quickly and efficiently.

If you have a complaint, please email info@headteacherchat.com.
We will acknowledge it within 7 days and aim to resolve it within 21 days.

If we cannot resolve your complaint, you may contact a certified Alternative Dispute Resolution (ADR) body.
A list of approved ADR providers is maintained by the Chartered Trading Standards Institute.

16. Termination

We may suspend or terminate your access if you breach these Terms or act unlawfully.
You may close your account at any time by contacting info@headteacherchat.com.
Rights and obligations accrued before termination remain enforceable.

17. Severability

If any provision is held invalid or unenforceable, the remaining provisions continue in full force.

18. Governing Law and Jurisdiction

These Terms and any related disputes are governed by the laws of England and Wales.
If you are a consumer elsewhere in the UK, you also benefit from mandatory protections of your home jurisdiction.
Disputes shall be resolved by the courts of England and Wales.

Some of our resources and documents incorporate or reference publicly available materials published by the Department for Education (DfE), Ofsted, and other UK public sector bodies.

Such content is reproduced under the terms of the Open Government Licence v3.0 (OGL v3.0), as issued by the National Archives.
Where this content is used, it remains the copyright of the Crown or the relevant public authority.
